Terms of Use & Master Services Agreement
Please read these Terms of Use carefully before using Zatax South Africa ("the Platform"), operated by Governx Technologies (Pty) Ltd. By registering, paying subscription fees, or generating Section 20 tax invoices, you enter into a legally binding agreement.
1. Platform Licensing & Entitlement Model
Governx Technologies (Pty) Ltd grants you a non-exclusive, non-transferable, revocable SaaS subscription license to access the Zatax platform based on your chosen tier:
- Business ERP Base Tier (R99/month): Unlocks multi-tenant ERP, Section 20 VAT invoicing, contacts CRM, South African Chart of Accounts seeding, and dual PDF/mailto delivery.
- Full Company ERP & Tax Suite (R899/month): All-inclusive access to core ERP, Smart SA Payroll (up to 15 employees), Open Banking feeds, Multi-Location Inventory & BOM, Multi-Currency, and AI Corporate Tax Restructuring.
- Personal Tax SaaS: Free Starter (R0), Pro Tax Maximizer (R99/month), and Annual SARS Filing Season Pass (R499 once-off).
2. Important Disclaimer: No Professional Legal or Tax Opinion
Zatax is an automated computational software engine designed to assist businesses and individuals in structuring calculations in accordance with the Income Tax Act No. 58 of 1962 and VAT Act No. 89 of 1991. The Platform and its AI tools do NOT constitute a formal legal tax opinion or chartered accounting sign-off.
The user remains strictly responsible for the factual accuracy of financial declarations, invoices, and ITR12/ITR14/VAT201 returns submitted to the South African Revenue Service (SARS).
3. Billing, Merchant Partner & Payments
All payments are processed in South African Rand (ZAR) via our regulated payment gateway partner, iKhokha iK Pay (operated by iKhokha / Ecentric Payment Systems).
Monthly subscriptions renew automatically on a 30-day cycle unless cancelled prior to renewal via the Billing settings.
4. Section 20 Compliance & E-Invoicing
Users generating tax invoices on Zatax represent that all supplied business details (including legal entity name, CIPC registration, physical address, and 10-digit SARS VAT numbers) are authentic and compliant with Section 20 of the South African VAT Act.
5. Limitation of Liability & Governing Law
To the maximum extent permitted by the South African Consumer Protection Act (CPA) and Electronic Communications and Transactions Act (ECTA), Governx Technologies (Pty) Ltd shall not be liable for indirect, punitive, or consequential damages resulting from SARS penalties, audit queries, or third-party bank feed connection interruptions.
This Agreement is governed by the laws of the Republic of South Africa, and the parties submit to the exclusive jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg).
